Hammarskiöld has advised Baltic and Central Eastern Europe (CEE) pharmacy retail and wholesale group Euroapotheca in its appr. SEK 1.7 billion acquisition of Apoteksgruppen Holding from the Kingdom of Sweden. Apoteksgruppen Holding provides franchise and management services to appr. 189 pharmacies operating under the Apoteksgruppen brand. In addition Euroapotheca has signed an agreement to acquire 156 of the privately owned Apoteksgruppen pharmacies. The purchase price for the latter transaction is not disclosed.
Euroapotheca owns and operates 454 pharmacies in the Baltic and CEE region and is part of the Vilniaus Prekyba-group, with 36,000 employees and an annual turn-over of appr. SEK 32 billion.
Following completion of both transactions, Euroapotheca will be the fourth largest player in the Swedish pharmacy retail market with a market share of approximately 9 per cent, and will unite a pharmacy network of more than 600 pharmacies and EUR 750 million in revenues across six markets.
Both transactions are subject to customary regulatory approvals.
